
These Terms & Conditions apply to consulting, research, evaluation, and advisory services provided by Willene Agency(“Consultant”). The Consultant provides professional services that may include research, data analysis, program evaluation, survey development, strategic advisory, reporting, and related consulting activities.
Specific deliverables, timelines, and project details will be outlined through written communication, proposals, invoices, or checkout pages associated with the engagement.
The Client agrees to provide accurate information, relevant materials, and timely responses necessary for the completion of the services.
Services are limited to the scope described in the associated proposal, invoice, checkout page, or written agreement.
If the Client requests additional analysis, revisions, reporting, or services beyond the original scope, the Consultant may provide a separate proposal or invoice for the additional work. Any expanded work will begin only after both parties agree to the revised scope and associated fees.
Payment Terms
Payment terms will be outlined in the associated invoice, proposal, or checkout page.
Unless otherwise stated:
Payment is required before services begin.
For larger engagements, a deposit may be required to initiate work.
The remaining balance must be paid before final deliverables are released.
Failure to complete payment may result in suspension of services. The Consultant reserves the right to withhold deliverables until
payment has been received in full.
Project timelines depend on the scope of work, responsiveness during the project, and the completeness of materials provided by the Client.
Typical timelines may vary depending on the engagement. Delays in providing requested data, documents, or feedback may affect the project timeline.
The Client is responsible for providing all requested data, materials, and information necessary to begin and complete the engagement.
Projects will begin once the required materials have been received.
If the Client does not provide required materials within 60 days of purchase, the engagement may be considered inactive and subject to rescheduling based on the Consultant’s availability. Additional fees may apply if the project must be restarted after an extended delay.
The Consultant’s analysis and recommendations are based on the information, data, and materials provided by the Client.
The Client is responsible for ensuring that all information supplied is accurate, complete, and appropriate for analysis. The Consultant is not responsible for errors, omissions, or conclusions resulting from incomplete, inaccurate, or inconsistent data provided by the Client.
The Consultant agrees to treat all Client information, materials, and data as confidential and to use such information solely for the purpose of performing the agreed services.
Confidential information will not be disclosed to third parties unless required by law.
Upon full payment, final work products developed for the Client become the property of the Client.
The Consultant retains the right to reference completed projects in general terms for professional portfolio, marketing, or case study purposes unless the Client requests confidentiality in writing. Confidential or proprietary information will not be disclosed.
Reports, briefs, and analytical materials prepared by the Consultant reflect the data provided and the scope of work agreed upon at the time of the engagement.
The Client may use the deliverables for internal decision-making, reporting, or program communication. The Consultant is not responsible for interpretations, conclusions, or representations made by the Client beyond the findings presented in the original analysis.
If the Client modifies, excerpts, or redistributes the materials, the Consultant is not responsible for how the information is interpreted or used outside the original context of the report.
The Consultant provides research, evaluation, and analytical services based on established professional standards and accepted research practices. All analyses and recommendations are developed using reasonable professional judgment based on the information available at the time of the engagement.
The Consultant does not guarantee specific outcomes, funding decisions, or program results resulting from the use of the services or deliverables provided.
Due to the analytical and consulting nature of the services, payments made for consulting, analysis, or strategic services are generally non-refundable once work has begun.
The Consultant operates as an independent contractor and is not an employee, partner, or agent of the Client. Nothing in this agreement establishes a partnership, joint venture, or employment relationship.
In the event of a dispute, both parties agree to first attempt resolution through good faith discussion.
If a resolution cannot be reached, disputes will be resolved through mediation or arbitration in accordance with the laws of the state in which the Consultant operates.
The Consultant provides analysis, recommendations, and strategic insights based on the information provided by the Client. The Client is responsible for decisions made based on these recommendations.
The Consultant shall not be liable for any indirect, incidental, or consequential damages resulting from the use of the services provided.
